These Terms of Service ("Terms") are a binding agreement between you and Command Nexus, a company in formation ("Command Nexus," "we," "us," or "our") governing your access to and use of the Command Nexus website, applications, APIs, and the Nexus Admin software (together, the "Service"). By creating an account, accepting these Terms at sign-up, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
You must be at least 16 years old to create an account or use the Service. By using the Service you represent that you meet this age requirement. If we receive credible evidence that a user is under 16, we may suspend or remove the account. The Service is a platform for managing milsim and gaming communities and is not directed to children.
If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and "you" includes that organization.
Command Nexus has several account roles:
You are responsible for the security of your account and for all activity under it. Keep your password confidential, use an accurate email address, and notify us promptly at commandnexusproducts@gmail.com of any unauthorized use. You may hold one account for yourself; do not share credentials or impersonate others. We are not liable for losses arising from your failure to safeguard your account.
An organization is created and controlled by its administrators. The organization owner is responsible for how the organization is run, for the conduct of its members within it, and for the personal data the organization collects about its members (names, contact details, linked accounts, attendance, ranks, and similar records).
For personal data that an organization uploads about its members, the organization is the "controller" and Command Nexus acts as a "processor" on the organization's behalf. Where a Data Processing Addendum ("DPA") is offered, it is incorporated into these Terms by reference for organizations that require one (for example, organizations with members in the EU/UK).
Each plan includes a member capacity (a member cap plus any additional seats you purchase). You are responsible for staying within your capacity; we may prevent new members from joining an organization that is at its cap. Organization ownership may be transferred through the platform's tools where available; the current owner is responsible for the transfer and its consequences.
You agree not to:
Milsim communities set their own conduct standards for their members; nothing here overrides an organization's own rules, provided they are consistent with these Terms and the law.
You and your organization retain ownership of the content you submit (rosters, operation records, images, avatars, documents, and other materials, "User Content"). You grant Command Nexus a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, and display User Content solely to operate and provide the Service to you and your organization. This licence ends when the content is deleted, except for backups retained for a limited period and records we must keep by law.
You are responsible for your User Content and for having the rights to it. Uploaded images are re-encoded on upload and are scoped to your organization; they are not published to the open web by us. We operate a notice-and-takedown process and an admin media-review control — see our Copyright / DMCA Takedown Policy. We may remove content that violates these Terms. Until the company is formed and a designated copyright agent is registered, takedown notices go to commandnexusproducts@gmail.com.
"Nexus Admin" is our in-game server administration and anti-cheat software, licensed — not sold — to you subject to these Terms. Depending on how you obtain it:
You agree that Nexus Admin includes anti-copy and integrity enforcement. A licence is bound to authorized server hardware/installations, and the software may refuse to run, stop operating, or disable features if it detects that its files have been copied, tampered with, or run on hardware to which the licence is not bound. Moving a one-time licence between servers is subject to a cooldown period (currently three days) to deter licence sharing. We may gate features by software version and require you to update. You must not remove, bypass, or interfere with these protections, share your licence with unauthorized servers, or use Nexus Admin to administer servers you are not entitled to administer. These enforcement measures are a condition of the licence and are not a defect.
Paid plans, add-ons, additional seats, and one-time purchases are billed through our payment processor, PayPal. Subscriptions renew automatically each billing cycle (monthly or yearly, as you select) until cancelled. By subscribing you authorize recurring charges through PayPal until you cancel. Prices, taxes, and plan features are shown at checkout; taxes are calculated from your billing details.
Some plans offer a free trial. Where a trial requires a payment method on file, the first charge occurs automatically when the trial ends unless you cancel before then. Trial eligibility is limited (generally one trial per organization and per email within a rolling period) and may not be abused.
Refunds and cancellations are governed by our Refund & Cancellation Policy, which is part of these Terms and is presented to you at checkout. In summary: you may cancel a subscription at any time and it remains active until the end of the current billing cycle; and a first purchase may be eligible for a refund if requested within five (5) days. EU/UK consumers are asked at checkout to consent to immediate provision of digital services and to acknowledge the resulting effect on the statutory right of withdrawal.
Card details are handled by PayPal and never touch our servers. If a payment fails or a charge is reversed, we may suspend or downgrade the affected organization per the non-payment lifecycle below.
You may stop using the Service and delete your account at any time. We may suspend, limit, or terminate access if you materially breach these Terms, if payment is not made (following the non-payment lifecycle, which may downgrade an organization to a free tier or suspend it), if required by law, or to protect the Service or its users.
When you request account deletion, we follow the process described in our Privacy Policy: your account is deactivated immediately and, after a 30-day grace period during which you may cancel the request, your personal data is deleted or anonymized according to our data-retention rules, except records we are required or permitted to retain (such as payment records and anti-cheat/ban history).
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any anti-cheat or moderation feature will detect or prevent all misconduct. Service levels and support commitments, where offered, are described separately and reflect commercially reasonable efforts for a small team.
To the maximum extent permitted by law, Command Nexus and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill. Our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of (a) the total fees you paid to us in the twelve (12) months before the event giving rise to the claim, or (b) US $100. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.
You agree to indemnify and hold harmless Command Nexus and its operators from claims, damages, and expenses (including reasonable legal fees) arising from your User Content, your use of the Service, your violation of these Terms or the law, or — for organization administrators — your handling of your members' data.
We may change, suspend, or discontinue features of the Service. We may also update these Terms; when we make a material change, we will publish the new version in our Legal Center with a new effective date and ask you to re-accept it the next time you sign in or check out. Continued use after a change takes effect means you accept the updated Terms.
These Terms are governed by the laws of the State of [U.S. STATE — set on LLC formation], United States, without regard to its conflict-of-laws rules, except where mandatory consumer-protection law in your place of residence applies. The parties will attempt to resolve disputes informally first by contacting commandnexusproducts@gmail.com. Nothing here deprives consumers of mandatory legal protections available to them locally.

Where you have a linked Discord account, we may also reach you there as a convenience on a best-efforts basis; if a Discord message cannot be delivered, notice sent to your account email is treated as delivered.
